Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Linkday Chrome Extension, marketplace applications, and website (collectively, the "Services"), operated by Vyden ("we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Description of Service

Linkday provides software tools designed to synchronize public profile data and direct messaging interactions from third-party platforms into connected Customer Relationship Management (CRM) systems (e.g., Monday.com).

2. User Responsibilities & Third-Party Platform Terms

Our Services operate alongside third-party platforms (such as LinkedIn). You agree that your use of the Linkday Services is at your own risk. You are solely responsible for ensuring that your use of our Services complies with the Terms of Service, User Agreements, and policies of any third-party platform you interact with.

Linkday provides the tool, but you control its execution. We are not liable for any account restrictions, suspensions, or damages imposed by third-party platforms resulting from your use of our Services. You agree to indemnify and hold Linkday harmless from any claims arising out of your breach of third-party terms.

Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or disassemble the Services.
  • Use the Services for any illegal or unauthorized purpose.
  • Attempt to bypass any security mechanisms or rate limits implemented by Linkday or integrated third-party platforms.

3. Account & Subscriptions

  • Authentication: Access requires authentication via a supported CRM marketplace (e.g., Monday.com OAuth). You are responsible for maintaining the confidentiality of your connected accounts.
  • Billing: Subscription plans and billing are managed directly through the respective CRM marketplace (e.g., Monday.com billing). You are subject to their payment processing terms.
  • Credits: Free plans include a fixed allotment of lifetime enrichment credits (e.g., 20 credits for email enrichment). Unused free credits have no cash value. Upgraded plans govern the allocation and renewal of ongoing enrichment credits.
  • Refunds: All payments are non-refundable unless otherwise required by law or explicitly stated by the CRM marketplace billing policies.

4. Intellectual Property

  • Linkday Property: We retain all right, title, and interest in the Services, including all source code, UI/UX, and underlying technology.
  • User Property: You retain all rights to the data you synchronize into your CRM using our Services. We claim no ownership over your CRM data or the prospect data you choose to process.

5. Data Privacy

Your use of the Services is subject to our Privacy Policy, which dictates how we collect, process, and protect your data. By using the Services, you consent to our data practices as outlined in the Privacy Policy.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will be error-free, secure, or uninterrupted. Because our Services interact with dynamic third-party DOMs (Document Object Models) and APIs, updates by those third parties may temporarily or permanently disrupt Linkday's functionality.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VYDEN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless Vyden, its partners, and employees from any claims, damages, liabilities, and expenses (including legal fees) arising from:

  • Your violation of these Terms.
  • Your violation of any third-party platform's terms of service (e.g., LinkedIn).
  • Your infringement of any third-party rights.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Bhubaneswar, Odisha, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

10. Modifications & Termination

  • Changes to Terms: We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or within the application. Continued use of the Services after changes constitute acceptance.
  • Termination: We may suspend or terminate your access to the Services at our sole discretion, without prior notice, if you breach these Terms. You may terminate these Terms by uninstalling the extension and deleting the app from your CRM. Sections 4, 6, 7, 8, and 9 shall survive termination.
